CodeNPaste functions let a user

The following User Terms and Conditions (hereafter the “Agreement“) explain how you can use the CodeNPaste: app, websites (including CodeNPaste.com and CodeNPaste.net), services and software (collectively hereafter “CodeNPaste“), provided to you by Codenpaste U.G. By using CodeNPaste you agree to be bound by all of these Terms and to other terms regarding the collection and use of your information, which are set in our Privacy Policy.
If you are using CodeNPaste on behalf of a group or organization, you agree to these terms on behalf of that group or organization and represent that you have the authority to do so (and in that case, “you” refers to that group or organization).
An "Account" represents your legal relationship with CodeNPaste. A “User Account” represents an individual User’s authorization to log in to and use the Service and serves as a User’s identity on CodeNPaste APP.
The “Agreement” refers, collectively, to all the terms, conditions, notices contained or referenced in this document (the “Terms of Service” or the "Terms") and all other operating rules, policies (including the Privacy Policy ) and procedures that we may publish from time to time on the Website
“Content” refers to content featured or displayed through the Website or the App, including without limitation code, text, data, articles, images, photographs, graphics, software, applications, snippet, script, packages, designs, features and other materials that are available on the Website, the APP or otherwise available through the Service. "Content" also includes Services.
“User-Generated Content” is Content, written or otherwise, created or uploaded by our Users. "Your Content" is content that you add, create or own. "Your content" doesn’t include feedback and comments you may give to CodeNPaste and CodeNPaste members
"Item" is a subdivision of a user content. It may include a title, keyword, and several chapters or compartments. Item typically represents but is not limited to, programming concept, part of programming code, code-snippet, script, object, note, etc
“CodeNPaste,”, "CodeNPaste:", “We,” and “Us” refer to CodeNPaste U.G., as well as our affiliates, directors, subsidiaries, contractors, licensors, officers, agents, and employees
The “Service” refers to the App, applications, software, products, and services provided by CodeNPaste, including any Beta Previews;
“User”, “You,” and “Your” refer to the individual person, company, or organization that has visited or is using the Website or Service; that accesses or uses any part of the Account; or that directs the use of the Account in the performance of its functions;
The “Website” refers to CodeNPaste website available at CodeNPaste.com or CodeNPaste.net and all content, services, and products provided by CodeNPaste at or through the Website.
The "App" refers to CodeNPaste Web Application or Software available from app.codenpaste.com, and products provided by CodeNPaste at or through the App.
CodeNPaste is a knowledge management platform where an Item formalizes knowledge.
CodeNPaste functions let a user:

Our service requires you to register an Account.
You must provide a valid email address to complete the signup process. Complete and accurate information, such as your real name, is required when you subscribe for a paid membership.

Your Account is personal; transferring or sharing your Account with anyone else is forbidden. In the event of unauthorized use of your Account, you will immediately notify us.
We are not liable for any loss or damage to you or any third party arising from your failure to comply with the above obligations¸as and any losses you suffer through the fault of the actions of unauthorized third parties.
You are fully and solely responsible for the safety of your Account and password and any actions or transactions made on your Account.
You retain ultimate administrative control over your User Account and its Content.
Failure to comply with these requirements may result in a blocked payment or denial of privileges.
We save the right to ask for the documents proving your real name and ownership rights on provided bank details to check the information's accuracy. In case the information provided by you in your Account is invalid, we have the right to block your Account at any time without prior notification
To guarantee the best service new Account creation might be restricted. If such an event occurs, any new users will be placed on a queue, and access will be granted by the registration date according to available capacities at our sole discretion, according to the rule of first come, first serve.
When subscribing to a paid plan, you expressly allow our payment service provider to charge you the subscription fee.
The service is paid for a full year at the moment of subscription.
A third-party payment processor, Paypal, processes payment and payment card information.
Service will be automatically renewed on a yearly basis unless you cancel the service or the auto-renewa process before the renewal date.
You may cancel or downgrade the service; your subscription will remain active until the end of the subscription period. We do not offer refunds.
Considering CodeNPaste granting you access and use of the Services, you agree that CodeNPaste may enable advertising on the Services. This Agreement includes the display of advertising in connection with your private content (viewed only by you) as well as your shared content - linked or public content - or other information (viewed by others than you).
We may also use your public content to promote CodeNPaste, including its products and content.
You agree that you are not entitled to any retribution, redistribution, compensation, participation or reimbursement of any kind from Our Company in connection with advertising revenue.
By submitting opinions, ideas, content, suggestions, feedback, documents, and/or proposals to Our Company about CodeNPaste's existing or future products and services ("Feedback"), you acknowledge and agree that:
We place the greatest importance on protecting your privacy and maintaining the security and integrity of your personal information. Please carefully review our Privacy Policy , which explains the measures we use to collect and store your data.
By accepting this Agreement, our Privacy Policy, and providing your personal information to CodeNPaste, You agree to the processing of your Personal Data for the purposes described in our Privacy policy and to comply with any legal obligations of the User.
However, like any application or service provider, we can’t guarantee that our security measures will never be defeated or breached by unauthorized third parties seeking to misuse your personal information.
You acknowledge that you provide your personal information and content at your own risk.
We trust you to use CodeNPaste and our services responsibly – and there are several specific and obvious things that you agree not to do.
You may not do, or try to do, the following:
CCodeNPaste and our licensors, vendors, agents, and/or content providers retain ownership of all their intellectual property rights of any kind, including, without limitations, patents, trademarks, service marks, copyrights, know-how, software, text, design, graphics, logos related to the Website, the App and Services.
We reserve all rights that are not expressly granted to you under this Agreement or by law.

We retain our right, title, and interest in CodeNPaste and all its components, including, without limitation, patents, trademarks, service marks, copyrights, know-how, software, text, design, graphics, logos and all intellectual property rights related to all of these (the “CodeNPaste Rights”).
We reserve all rights not expressly granted in these Terms in CodeNPaste and the CodeNPaste Rights. These Terms do not give you any rights to use our trademarks, logos, domain names, or other brand features.
Use of CodeNPaste Rights for any purpose not expressly permitted by these Terms is strictly prohibited.
By uploading your content to CodeNPaste,
We will never sell your content to third parties without your explicit permission.
You’re responsible for the content you post. This means you assume all risks related to it, including someone else’s reliance on its accuracy, or claims relating to intellectual property or other legal rights.
You’re welcome to upload and share content on CodeNPaste that you’ve published elsewhere, as long as you have the rights you need to do so.
By posting content to CodeNPaste,
We can remove any content you post for any reason.
You can delete your content at any time.
You are responsible and liable for any Data and anything you type, copy, share, upload, download, attach, or otherwise do while using CodeNPaste.
If we receive notices of alleged copyright infringement, we will take legal enforcement measures according to applicable legislation such as, for example, the U.S. Digital Millennium Copyright Act or the EU’s copyright legislation.
We reserve the right to suspend your account, delete or disable content alleged to be infringing, and terminate the account of a repeated infringer.
Our Service may contain links to third-party websites or services not owned or controlled by the Company.
The Company has no control over and assumes no responsibility for any third-party websites or services' content, privacy policies, or practices. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.

This Agreement will remain in force without any limitation to the generality of the Agreement or any of its particular clauses.

All provisions of this Agreement which, by their nature, should survive termination will survive termination — including, without limitation, Things You Cannot Do; Intellectual Property; Notifications; Disclaimers; Limitation of Liability; Indemnity; Governing Law and Arbitration; Miscellaneous.
We are constantly changing and improving CodeNPaste and its services.
Features can be modified, add or removed unilaterally, in the interest of CodeNPaste and/or to offer additional services.
By entering into this Agreement you acknowledge and accept that periodic system maintenance is required and may require system downtime, but we promise to use our best efforts to make such maintenance works as short as possible.
CodeNPaste UG reserves the right, in its sole discretion, to modify, suspend, or terminate this Agreement, the Service and the website and/or any portion thereof, and/or your account, password at any time for any reason with or without notice to you.
Please review this Agreement periodically for changes. Your continued use of CodeNPaste App constitutes your acceptance and Agreement to be bound by these changes without limitation, qualification or change. If at any time you do not accept these changes, you must immediately discontinue use of the Service.
You may not assign any of your rights in these Terms, and any such attempt is void, but the Terms may be assigned by us without restriction. Any attempt by you to transfer any of the rights, duties or obligations hereunder, except as expressly provided for in these Terms, is void
We may provide you with notifications, whether required by law or for marketing or other business related purposes, via email notice, written or hard copy notice, or through the posting of such notice on our website, or App, as determined in our sole discretion.
We reserve the right to determine the form and means of providing notifications to our users, provided that you may opt out of certain means of notification as described in these Terms.
We shall not be responsible for any automatic filter which you or your network provider may apply to email notifications we send to the email address you provide us.
We provide the Services to you “AS IS” and on “AS AVAILABLE” basis. You use them at your own risk and discretion. That means they don’t come with any warranty. None expressed, none implied. No implied warranty of merchantability, fitness for a particular purpose, availability, security, title or non-infringement.
Without limiting the foregoing, neither we nor our licensors warrant that the content, including User-Generated Content, is accurate, reliable or correct; that any defects or errors will be corrected; that CodeNPaste or the software will be available at any particular time or location, uninterrupted or secure; or that CodeNPaste or the software is free of viruses, malware or other harmful components.
Any content downloaded, copy and pasted or otherwise obtained through the use of CodeNPaste is downloaded, copy and pasted at your own risk and you will be responsible for any damage to your devices, computer, tablet, cell phone or other system, or for any loss of data resulting from such download or use of CodeNPaste.

These Terms shall be governed by the laws of Germany without giving effect to their conflict of law principles. You consent to the exclusive jurisdiction and venue of competent courts in Essen, Germany for any dispute arising from or relating to these Terms.
These Terms constitute the entire and exclusive Agreement between you and us and supersede and replace any other Agreements, terms and conditions applicable to CodeNPaste.
No joint venture, partnership, employment, or agency relationship exists between you and us as a result of this Agreement or use of our Service. Our relationship is that of independent contractors.
These Terms create no third-party beneficiary rights.
Our failure to enforce a provision is not a waiver of our right to do so later. If a provision is found unenforceable the remaining provisions of these Terms will remain in full effect and an enforceable term will be substituted reflecting our intent as closely as possible.
